Terms of Service

These terms explain how merchants, agencies, and team members may use MerchantProof.

Please read these Terms carefully. By creating an account, joining a workspace, starting a subscription, purchasing a recovery service, or otherwise using MerchantProof, you agree to these Terms on behalf of yourself and, if applicable, the company or client workspace you represent.

1. The service

MerchantProof provides Merchant Center monitoring, issue triage, recovery workflow tools, evidence-pack generation, reporting, and agency collaboration features for ecommerce operators.

The service is a decision-support and operations platform. It helps organize diagnostics, documents, notes, screenshots, and next steps, but it does not guarantee approval, reinstatement, eligibility, rankings, ad performance, or any specific result from Google, Shopify, PayPal, or any other third party.

2. Accounts and workspaces

You are responsible for keeping your login credentials secure, maintaining accurate account information, and controlling who can access your workspace.

If you invite teammates, contractors, clients, or agency users, you are responsible for their activity in your workspace and for assigning appropriate roles and permissions.

3. Merchant data and integrations

You may connect Google Merchant Center, storefront, billing, storage, email, analytics, and other third-party services. You authorize MerchantProof to access and process information from those integrations only as needed to provide, secure, maintain, and improve the product features you use.

You must have the rights and permissions needed to connect each account, upload each file, generate each report, and share each client portal or evidence pack.

4. Trials, subscriptions, and billing

Paid plans may include recurring subscriptions, annual billing, usage limits, referral credits, discounts, or one-time services such as recovery audits. Prices, plan limits, included features, and billing intervals are shown at checkout or in the billing area.

Unless an order form says otherwise, subscriptions renew automatically until cancelled. You are responsible for taxes, fees, and charges associated with your plan. Payment processing may be handled by PayPal or another payment provider, and their terms may also apply.

5. Acceptable use

MerchantProof must be used for lawful business purposes. You may not misuse the service, interfere with platform security, attempt unauthorized access, reverse engineer non-public parts of the product, or use the product to violate third-party terms.

  • Do not upload malware, secrets, or illegal content.
  • Do not impersonate another merchant, agency, client, or reviewer.
  • Do not use exported reports or client portals in a misleading way.
  • Do not overload, scrape, or probe the service outside documented product behavior.

6. Client portals, evidence packs, and reports

Agency and team features may allow you to create client workspaces, share signed links, export evidence packs, assign remediation work, and prepare review materials. You are responsible for reviewing those materials before sharing or submitting them externally.

White-label or client-facing outputs should be used honestly and with proper authorization. MerchantProof may add security controls, expiration rules, audit logs, and access restrictions to shared materials.

7. Ownership and feedback

You keep ownership of your merchant data, uploaded files, notes, screenshots, and client materials. MerchantProof owns the product, software, design system, workflows, documentation, templates, and underlying technology.

If you send ideas, feedback, or suggestions, you allow MerchantProof to use them without restriction or compensation, while you keep ownership of any confidential business information you provide.

8. Availability and product changes

We work to keep the service reliable, but availability may be affected by maintenance, third-party providers, integration changes, outages, security events, or other conditions outside our control.

Features may change over time. Beta, preview, or coming-soon features may be modified, limited, or discontinued before general availability.

9. Confidentiality and security responsibilities

Each party should protect non-public business, technical, financial, operational, and client information with reasonable care. You should not share workspace access, exports, or portal links with people who are not authorized to view them.

You are responsible for configuring user roles, revoking access when team members leave, and avoiding uploads that contain unnecessary sensitive information.

10. Suspension and termination

You may stop using MerchantProof or cancel your subscription according to the cancellation flow in the product. We may suspend or terminate access if there is non-payment, security risk, legal risk, misuse, or a material breach of these Terms.

After termination, access to the service may end and stored materials may be deleted according to our retention practices, unless law or a separate agreement requires otherwise.

11. Disclaimers

MerchantProof is provided on an as-is and as-available basis to the fullest extent permitted by law. We do not promise that every issue will be detected, that every recommendation will be complete, or that any third-party platform will accept a submission, appeal, product feed, storefront change, or policy response.

You remain responsible for business decisions, compliance decisions, storefront content, product data, policy submissions, and final review materials.

12. Limitation of liability

To the fullest extent permitted by law, MerchantProof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption.

To the fullest extent permitted by law, MerchantProof's total liability for claims relating to the service will not exceed the amount you paid to MerchantProof for the service giving rise to the claim during the three months before the claim arose.

13. Indemnity

You agree to defend and hold MerchantProof harmless from claims, damages, losses, liabilities, and expenses arising from your workspace content, client materials, misuse of the service, violation of these Terms, or violation of third-party rights or platform rules.

14. Changes to these Terms

We may update these Terms as the product, business, or legal requirements change. If changes are material, we will provide reasonable notice through the product, by email, or by updating this page. Continued use of the service after the effective date means you accept the updated Terms.
